1. Introduction
Welcome to Agile Alley. These Terms of Service ("Terms") govern your use of our web development, design, and digital services. By engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding with any project.
2. Our Services
Agile Alley provides comprehensive web development services including but not limited to:
- Custom website development
- Web application development
- E-commerce solutions
- UI/UX design
- API development and integration
- Maintenance and support services
- AI automation solutions
3. Payment Terms
Payment Structure: We operate on a flexible milestone-based payment system designed to accommodate the cash flow needs of Sri Lankan businesses and startups. Projects are divided into clear phases with payments due upon completion of each milestone.
Deposit: A 30% deposit is required to commence work on any project. This deposit covers initial planning, design, and setup work. For startup clients, we offer flexible deposit arrangements based on project scope and client circumstances.
Milestone Payments: Remaining payments are structured as follows:
- 40% upon completion of design/development phase
- 30% upon project delivery and testing completion
- We offer flexible payment terms (15-30 days) to accommodate business cash flow
Payment Methods: Currently, we accept bank transfers as our primary payment method. As our business grows, we plan to integrate secure payment gateways (such as Stripe) to provide more convenient payment options for our clients. For Sri Lankan clients, we accept local bank transfers and are exploring local digital payment solutions.
Late Payments: We understand the challenges faced by businesses in Sri Lanka. For payments overdue by more than 45 days, we may pause work temporarily until payment arrangements are made. We work collaboratively with clients to find suitable payment solutions.
Startup Support: For early-stage startups and small businesses, we offer extended payment terms and installment options to support your growth journey.
4. Project Timeline and Delivery
Project timelines are established during the initial consultation and proposal phase. We strive to deliver projects on time, but timelines may be affected by client feedback delays, third-party integrations, or unforeseen technical challenges.
Any changes to project scope may affect the timeline and require timeline adjustments. We will communicate any potential delays promptly and work with you to find suitable solutions.
5. Intellectual Property
Upon full payment, all intellectual property rights for the final deliverables transfer to the client. This includes website code, designs, graphics, and any custom-developed assets.
Third-party assets (stock images, frameworks, libraries) remain subject to their original licenses. We reserve the right to showcase completed projects in our portfolio unless otherwise agreed.
6. Client Responsibilities
- Provide clear project requirements and objectives
- Supply necessary content, images, and materials in a timely manner
- Review and provide feedback on deliverables within agreed timeframes
- Ensure access to necessary systems, accounts, or third-party services
- Communicate changes or additional requirements promptly
7. Confidentiality
Both parties agree to maintain confidentiality regarding sensitive information shared during the project. This includes proprietary business information, client data, and project details.
8. Limitation of Liability
Agile Alley shall not be liable for any indirect, incidental, or consequential damages. Our liability is limited to the amount paid for the specific services in question.
9. Termination
Either party may terminate the agreement with written notice. Upon termination, the client shall pay for all work completed up to the termination date.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes shall be resolved through amicable negotiation or Sri Lankan courts.
